Clause AI provides a real-time informational and assistance resource designed to support users during technical assessments, interviews, and professional meetings. The Platform utilizes artificial intelligence to analyze context and provide suggested text, information, and technical guidance (the "Output").

2.1 Edge Processing: To prioritize user privacy and minimize latency, the Platform relies heavily on local "edge processing" running directly on your device hardware, supported by secure third-party cloud infrastructure for account and data management. You acknowledge that the speed and accuracy of the Output may depend heavily on your local computer's specifications and internet connection.

2.2 Informational Tool: You acknowledge that Clause AI is an informational tool intended for educational and preparatory assistance. The Platform does not control your computer, nor does it make professional decisions on your behalf. All Output is generated probabilistically and should be verified for accuracy and appropriateness by the User before any reliance is placed upon it.

3.1 Compliance with Third-Party Rules: You are solely responsible for ensuring that your use of Clause AI complies with all applicable laws, regulations, and third-party agreements, including but not limited to:

• Employment contracts and Non-Disclosure Agreements (NDAs);
• Employer internal policies and codes of conduct;
• Terms of service of third-party video conferencing platforms (e.g., Zoom, Google Meet, Microsoft Teams);
• Terms of service of technical assessment or proctoring platforms (e.g., HackerRank, CoderPad, CodeSignal).

3.2 Absolute Assumption of Risk: You acknowledge that the use of AI assistance tools may be prohibited by your employer or the platform hosting your interview. You assume 100% of the risk associated with the use of Clause AI. This includes, but is not limited to:

• Detection by proctoring or monitoring software;
• Account suspension or permanent banning from third-party platforms;
• Disciplinary action by an employer, including termination of employment;
• Revocation of job offers or professional certifications.

3.3 No Monitoring by Company: Clause AI does not monitor your specific use case or the rules of the third-party platforms you interact with. We hold zero liability for any professional, legal, or financial repercussions resulting from your decision to use the Platform.

4.1 No Guarantee of Outcome: Clause AI is provided for informational purposes only. We do not guarantee any specific result from the use of the Platform, including but not limited to:

• Successful completion of an interview or assessment;
• Receipt of a job offer or promotion;
• Accuracy, truthfulness, or suitability of the AI-generated Output.

4.2 No Guarantee of Undetectability: While Clause AI is designed with advanced features to minimize detection, we do not guarantee absolute or permanent "undetectability." You acknowledge that proctoring and monitoring technologies are constantly evolving, and Clause AI may become detectable at any time without notice.

4.3 Limitation of Damages: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CLAUSE AI, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE PLATFORM.

4.4 Service Availability & Infrastructure Interruptions: The Platform utilizes third-party cloud infrastructure providers (including, but not limited to, Supabase) for essential backend operations. We do not guarantee 100% uptime. We are not liable for any failure to generate Output or provide assistance during a live interview caused by cloud server outages, database failures, force majeure events, or your local network issues.

To access certain features of the Platform, you may be required to register for an account. You agree to:

• Provide accurate, current, and complete information during the registration process;
• Maintain the security of your password and accept all risks of unauthorized access to your account;
• Promptly notify us if you discover or otherwise suspect any security breaches related to the Platform.

You are solely responsible for all activity that occurs under your account. Sharing your account credentials with third parties is strictly prohibited and may result in immediate termination of your access.

You agree to defend, indemnify, and hold harmless Clause AI and its subsidiaries, agents, licensors, managers, and other affiliated companies, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from:

• Your use of and access to the Platform, including any data or content transmitted or received by you;
• Your violation of any term of these Terms;
• Your violation of any third-party right, including without limitation any right of privacy or intellectual property rights;
• Your violation of any third-party terms of service, employer policies, or professional codes of conduct.

These Terms shall be governed by and construed in accordance with the laws of the Republic of India. You expressly agree that any dispute arising out of or relating to these Terms or the Platform shall be subject to the exclusive jurisdiction of the courts located in India.

7.1 Information Technology Act, 2000: You acknowledge that these Terms are an electronic record in terms of the Information Technology Act, 2000 and rules there under as applicable and the amended provisions pertaining to electronic records in various statutes as amended by the Information Technology Act, 2000. This electronic record is generated by a computer system and does not require any physical or digital signatures.

We may terminate or suspend your account and bar access to the Platform immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

Upon termination, your right to use the Platform will immediately cease. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
